1. Acceptance of Terms
By accessing or using the Validata service ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the terms, then you may not access the Service. Your use of the Service is also subject to our Privacy Policy. To use our Service, you must create an account and may be required to provide payment information. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.
2. Service Description
2.1 What Validata Does
Validata is a data cleaning tool designed to help you improve the quality of your contact lists. Our features include:
- Removing duplicate entries from your files.
- Correcting common typos and formatting issues in emails.
- Standardizing phone number formats.
- Fixing inconsistent name capitalization.
- Processing files with a large number of rows.
- Accepting CSV, XLSX, and PDF file formats.
- Providing a statistical summary of the cleaning results.
2.2 What Validata Does NOT Do
Validata is a processing tool, not a storage service. We do not:
- Offer permanent storage for your files. Files are deleted from our servers after a short period.
- Use your data for AI training or any purpose other than providing the cleaning service to you.
- Guarantee 100% accuracy. The automated cleaning process may produce errors, and you are responsible for reviewing the results.
- Provide a warranty of any kind. The service is provided "as is".
2.3 Service Availability
We strive for a 99% uptime for our Service. However, we do not guarantee uninterrupted access. We may perform scheduled maintenance and will provide advance notice when possible. We are not liable for any downtime or data loss.
3. User Accounts and Registration
3.1 Account Creation
To access the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process. This includes your name, a valid email address, and a valid payment method. You must be at least 18 years old to create an account.
3.2 Passwordless Authentication
We use a passwordless "magic link" system for authentication. A unique, time-sensitive login link will be sent to your registered email address. You are responsible for maintaining the security of your email account to prevent unauthorized access to your Validata account.
3.3 Account Security
You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Validata will not be liable for any loss or damage arising from your failure to comply with this section.
3.4 Account Termination
We reserve the right to suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent activity
- Abuse the Service or attempt to harm our systems
- Fail to pay subscription fees
4. Subscription and Billing
4.1 Standard Plan
- Price: $29.99 per month
- Billing: Recurring monthly subscription
- Payment Processor: Paddle
- Features: Unlimited row processing, all data cleaning features, email support
4.2 Billing Cycle
- You will be charged $29.99 on the date you subscribe
- Subsequent charges occur monthly on the same date
- Billing continues until you cancel your subscription
- All fees are in USD unless otherwise stated
4.3 Payment Authorization
By subscribing, you authorize Validata to charge your payment method:
- The initial subscription fee of $29.99
- Recurring monthly fees on each billing cycle
- Any applicable taxes
4.4 Failed Payments
If a payment fails:
- We will attempt to process payment again
- You will be notified via email
- Your account may be suspended after 7 days of failed payment
- You remain responsible for all unpaid fees
4.5 Price Changes
We reserve the right to change subscription prices with:
- 30 days advance notice via email
- You may cancel before the change takes effect
- Continued use after the change constitutes acceptance
4.6 No Prorating
We do not provide prorated refunds or credits for partial subscription periods, except as specified in Section 5 (Refund Policy).
5. Refund Policy
5.1 Consumer Right to Cancel (14-Day Cooling-Off Period)
If you are a Consumer purchasing Validata, you have the right to cancel this Agreement and request a refund within 14 days without giving any reason, subject to the exceptions below.
Cancellation Period:
- The 14-day cancellation period begins the day after you complete your initial subscription purchase
- This right applies only to your initial subscription, not to automatic renewals
- To meet the cancellation deadline, you must inform us of your decision before the 14-day period expires
How to Cancel:
To exercise your right to cancel, you must inform Validata of your decision through one of the following methods:

- Submit via Manage Subscription: Go to Pricing → Manage Subscription in your dashboard

If you contact us online, we will send you an acknowledgment of receipt of your cancellation without delay.
Effect of Cancellation:
If you cancel within the 14-day period:
- We will reimburse all payments received from you
- Reimbursement will be made without undue delay, and no later than 14 days after we receive your cancellation notice
- Refunds will be processed using the same payment method you used for the original transaction
- You will not incur any fees for the reimbursement
5.2 Exception to the Right to Cancel
Important: Your right to cancel does not apply if you have started using Validata's services during the 14-day period.
Specifically, your cancellation right is forfeited if you have:
- Uploaded and cleaned any CSV or Excel files
- Downloaded any cleaned files
- Otherwise accessed and used Validata's data cleaning features
By using Validata's services before the 14-day period expires, you acknowledge that you lose your right to cancel and receive a refund.
5.3 Refunds Outside the 14-Day Period
After the 14-day cancellation period or if you have used the service, refunds are provided at the sole discretion of Paddle (our payment processor) on a case-by-case basis.
Refund requests may be refused if:
- The 14-day cancellation period has expired and service has been used
- Evidence of fraud, refund abuse, or manipulative behavior is found
- The request does not meet valid refund criteria
This policy does not affect your rights as a Consumer in relation to services which are not as described, faulty, or not fit for purpose.
5.4 Subscription Cancellation (No Refund)
You may cancel your Validata subscription at any time to prevent future charges, but cancellation does not entitle you to a refund for the current billing period.
To cancel your subscription:
- Log in to your Validata account
- Go to Pricing → Manage Subscription
- Click "Cancel Subscription"
- Confirm cancellation
After Cancellation:
- No future charges will occur
- Your access continues until the end of your current paid billing period
- No refund will be issued for the current billing period
- You may resubscribe at any time
5.5 No Refunds For
We do NOT provide refunds for:
- Subscriptions where services have been used (files uploaded/cleaned/downloaded)
- Cancellations made after the 14-day period
- Automatic subscription renewals (the 14-day right only applies to initial purchase)
- Partial months of service
- Unused features or processing capacity
- User error or dissatisfaction after services have been used
- Accounts terminated for violations of our Terms of Service
5.6 How Refunds Are Processed
All refunds are processed through Paddle, our payment processor.
Timeline:
- Refund approval: Within 24-48 hours of request
- Funds returned to your account: 5-10 business days (depending on your bank)
Account Access After Refund:
- If a refund is approved, you will retain access for 24 hours to export any data
- After 24 hours, your account will be deactivated
5.7 Disputes and Consumer Rights
If you believe you are entitled to a refund and your request has been denied, you may:

- File a dispute with Paddle at paddle.com/support
This Refund Policy does not limit your statutory rights as a consumer, including rights related to faulty services, services not matching their description, or services not fit for purpose.
6. Data Processing and Privacy
6.1 Your Data Ownership
You retain complete ownership of all data you upload to Validata. We do not claim any rights to your data.
6.2 How We Handle Your Files
When you upload a CSV file:
- Files are processed in real-time on our servers
- Files are temporarily cached during the cleaning process
- Processed files are available for download immediately
- Files are automatically deleted from our servers within 24 hours of processing
- We do not use your data to train algorithms or for any purpose other than providing the Service
6.3 Data Location
Your files are processed on servers located in [INSERT YOUR SERVER LOCATION]. By using Validata, you consent to your data being processed in this location.
6.4 What We Collect
We collect and store:
- Your first name and email address
- Payment information (processed securely by Paddle)
- Usage data (number of files processed, features used)
- Login history and session data
- Refund requests and feedback
6.5 What We Do NOT Collect
We do not:
- Store the contents of your uploaded CSV files beyond 24 hours
- Read or analyze the content of your data
- Share or sell your data to third parties
- Use your data for marketing purposes (other than contacting you about our Service)
6.6 Data Security
We implement reasonable security measures including:
- HTTPS encryption for all data transmission
- Secure authentication via magic links
- Regular security audits
- Restricted access to user data
However, no method of transmission over the internet is 100% secure. You use the Service at your own risk.
6.7 Your Privacy Rights
You have the right to:
- Access your personal data
- Request deletion of your account and data
- Export your data (via our dashboard)
- Opt-out of marketing emails (while still receiving service-related emails)

7. User Responsibilities
7.1 Data Rights and Authorization
You represent and warrant that:
- You own or have the legal right to upload and process all data you submit
- You have obtained all necessary consents to process personal data (if applicable)
- Your use of Validata complies with all applicable data protection laws (GDPR, CCPA, etc.)
- You are authorized to share the data with our Service
7.2 Backup Your Data
CRITICAL: You must maintain backups of all original data before using Validata. We are not responsible for:
- Data loss during processing
- Incorrect transformations
- Deleted or corrupted files
- Loss of original data
7.3 Review Cleaned Data
You must:
- Review all cleaned data before using it in production
- Verify the accuracy of automated transformations
- Not rely solely on Validata's automated cleaning for critical decisions
- Test cleaned data in a non-production environment first
7.4 Compliance with Laws
You agree to:
- Comply with all applicable laws and regulations
- Not upload illegal, harmful, or offensive content
- Not process data in violation of privacy laws
- Obtain necessary consents before processing personal data
7.5 Prohibited Data
You may NOT upload files containing:
- Malware, viruses, or malicious code
- Data obtained illegally or without authorization
- Highly sensitive data without proper security measures (e.g., unencrypted social security numbers, financial account credentials)
- Data that violates someone's privacy rights
- Content that infringes intellectual property rights
8. Acceptable Use Policy
8.1 Prohibited Activities
You agree NOT to:
- Attempt to breach, hack, or compromise our systems
- Use automated scripts to abuse the Service (beyond normal use)
- Reverse engineer, decompile, or disassemble our software
- Resell or redistribute access to Validata
- Share your account credentials with others
- Upload files containing malicious code
- Use Validata for any illegal purpose
- Impersonate others or provide false information
- Interfere with other users' access to the Service
8.2 Rate Limits and Fair Use
While we offer unlimited row processing, you agree to:
- Use the Service in good faith for legitimate data cleaning purposes
- Not abuse system resources through excessive, automated requests
- Not attempt to circumvent any rate limits or security measures
8.3 Violations
Violations of this Acceptable Use Policy may result in:
- Immediate account suspension
- Termination without refund
- Legal action if warranted
9. Data Accuracy and Limitations
9.1 Automated Processing Disclaimer
⚠️ IMPORTANT: Validata uses automated algorithms to clean data. Results are not guaranteed to be 100% accurate.
9.2 No Warranty of Accuracy
We do NOT warrant that:
- All duplicates will be identified or removed
- All formatting will be corrected perfectly
- All validations will be accurate
- Email or phone corrections are 100% correct
- Cleaned data will meet your specific requirements
9.3 User Review Required
You must review all cleaned data before using it. Validata is a tool to assist with data cleaning, not a replacement for human judgment.
9.4 Not Professional Services
Validata provides software tools, not professional data consulting or verification services. We do not:
- Verify the truthfulness of data
- Provide data analysis advice
- Guarantee compliance with industry standards
- Offer expert data cleaning consultation
9.5 Results Are Suggestions
All transformations performed by Validata are automated suggestions based on algorithms. They should be treated as:
- Starting points for data cleaning
- Suggestions requiring verification
- Assistance tools, not definitive corrections
10. Intellectual Property
10.1 Validata's Ownership
We own all rights to:
- The Validata platform, software, and code
- Our website, design, and branding
- Our algorithms and data cleaning methodologies
- Documentation and support materials
- Trademarks and service marks
10.2 Your Data Ownership
You retain all ownership rights to:
- Your uploaded files (original and processed)
- Your customer data
- Any content you create using our Service
10.3 License to Process
By uploading files, you grant us a temporary, limited license to:
- Process your files to provide the cleaning service
- Store files temporarily (up to 24 hours) for processing
- Use anonymous, aggregated usage data to improve the Service
This license ends when your files are deleted from our servers.
10.4 Restrictions
You may NOT:
- Copy, modify, or create derivative works of our software
- Reverse engineer our algorithms
- Remove any copyright or proprietary notices
- Use our branding without permission
- Frame or mirror our website
11. API Usage and Security
11.1 HTTPS/TLS Encryption
All communications between your browser and Validata servers are secured using HTTPS with Transport Layer Security (TLS) version 1.2 or higher. By using the Service, you acknowledge and agree that:
- All API connections use HTTPS with TLS 1.2 or higher encryption
- SSL certificates are verified for all connections to prevent man-in-the-middle attacks
- Data transmission is encrypted end-to-end from your browser to our servers
- All uploaded files and processed data are transmitted over encrypted channels
- You acknowledge that your data is transmitted securely using industry-standard encryption protocols
While we implement robust encryption measures, no method of transmission over the Internet is 100% secure. You use the Service with the understanding that security cannot be absolutely guaranteed.
11.2 Rate Limiting and Fair Usage
To ensure fair access to the Service for all users and to protect our infrastructure from abuse, we enforce rate limiting on API requests. You acknowledge and agree that:
- Rate limits are enforced at 100 requests per 15-minute window per user session
- Rate limiting ensures system stability and fair access for all users
- Excessive usage beyond fair use policies may result in temporary throttling of your requests
- Repeated violations of rate limits may result in account suspension or termination
- Attempts to circumvent, bypass, or defeat rate limiting mechanisms are strictly prohibited and constitute a material breach of these Terms
- We reserve the right to adjust rate limits at any time to maintain service quality
Rate limits apply to both automated and manual usage. If you require higher rate limits for legitimate business purposes, please contact us at validata.customercare@gmail.com to discuss your needs.
11.3 Timeout Protection
To prevent system resource exhaustion and ensure responsive service for all users, API requests are subject to timeout limits. You acknowledge and agree that:
- All API requests have timeout limits ranging from 30 to 60 seconds, depending on the operation
- Requests that exceed these timeout limits will be automatically terminated by the system
- File processing operations may be subject to longer timeouts based on file size and complexity
- You acknowledge these technical limitations and agree to design your usage patterns accordingly
- We are not liable for any data loss or incomplete processing resulting from timeout terminations
- You are responsible for implementing appropriate retry logic and error handling in your usage of the Service
If you consistently experience timeout issues with legitimate file processing, please contact our support team to discuss potential solutions or optimizations.
11.4 Security Monitoring
We actively monitor API usage and system activity to detect and prevent security threats, abuse, and unauthorized access. You acknowledge and agree that:
- All API usage is logged for security purposes, including timestamps, endpoints accessed, HTTP methods, and response status codes
- We log IP addresses, user session identifiers, and general usage patterns to detect anomalies
- Sensitive data, including the contents of uploaded files and personal information within those files, is never logged or stored in our monitoring systems
- Suspicious activity, including but not limited to unusual request patterns, potential security probes, or violation of rate limits, may result in immediate account review or suspension
- You consent to this monitoring as a necessary security measure for the protection of all users
- Log data is retained in accordance with our data retention policies and may be used for security audits and incident response
Our security monitoring is designed to protect both your data and our Service. We will never sell or share monitoring data with third parties except as required by law or for security incident response.
11.5 Security Updates
We are committed to maintaining the security and integrity of the Service through ongoing security maintenance and improvements. You acknowledge and agree that:
- We commit to deploying regular security updates, patches, and improvements to protect against newly discovered vulnerabilities
- Security-critical updates may be applied immediately without advance notice to protect the Service and user data
- Non-critical security updates will be applied during scheduled maintenance windows when possible
- You are responsible for staying informed of security best practices for protecting your account credentials and data
- We reserve the right to implement additional security measures at any time, including but not limited to enhanced authentication requirements, additional encryption layers, or stricter access controls
- Security updates may occasionally result in temporary service disruptions, for which we will not be liable

12. Disclaimers and Limitation of Liability

We disclaim all warranties, including:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness
- Uninterrupted or error-free service
12.2 No Guarantee of Results
We do not guarantee:
- That Validata will meet your specific requirements
- That the Service will be available at all times
- That results will be accurate or complete
- That errors will be corrected
- That the Service is free from viruses or harmful components
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We are NOT liable for:
- Data loss, corruption, or incorrect transformations
- Business decisions made based on cleaned data
- Lost profits, revenue, or business opportunities
- Downtime or service interruptions
- Indirect, incidental, consequential, or punitive damages
- Data breaches beyond our reasonable control
- Third-party actions or services
MAXIMUM LIABILITY: Our total liability to you for all claims is limited to the amount you paid us in the 12 months before the claim ($179.88 maximum).
12.4 User Responsibility
You acknowledge and agree that:
- You use Validata at your own risk
- You are solely responsible for verifying cleaned data
- You must maintain backups of all original data
- Business decisions based on cleaned data are your responsibility
12.5 Exceptions
Some jurisdictions do not allow limitations on implied warranties or liability. In such cases, our liability is limited to the fullest extent permitted by law.
13. File Processing Specifications
13.1 Supported Formats
Currently supported:
- CSV files only
- UTF-8 encoding recommended
13.2 File Size Limits

14. Termination
14.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription via Manage Subscription
- Emailing us at validata.customercare@gmail.com
- Your access continues until the end of your paid billing period
14.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your account is subject to legal action
- We discontinue the Service (with 30 days notice)
14.3 Effect of Termination
Upon termination:
- Your access to Validata ends immediately (or at end of paid period if you cancelled)
- All your data will be deleted from our servers within 30 days
- You remain liable for any unpaid fees
- Sections of these Terms that should survive (warranties, limitations, etc.) remain in effect
14.4 Data Retrieval
Before termination, you should:
- Export all data you need
- Download all processed files
- We are not obligated to provide data after termination
15. Changes to Terms
15.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date
- We will notify you via email
- Material changes will be announced with 30 days notice
15.2 Your Acceptance
Continued use of Validata after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must:
- Cancel your subscription before the changes take effect
- Stop using the Service

You are responsible for reviewing these Terms periodically to stay informed of changes.
16. Data Protection and Compliance

18. Governing Law and Disputes

You agree that any legal action or proceeding shall be brought exclusively in the courts located in the Philippines.
18.3 Dispute Resolution
Before filing a lawsuit, you agree to:

- Allow 30 days for us to attempt resolution
18.4 Waiver of Class Actions

19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
19.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
19.4 Assignment
You may not assign or transfer these Terms or your account. We may assign these Terms to any affiliate or successor.
19.5 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including:

- War, terrorism, or civil unrest
- Internet service provider failures
- Government actions or regulations
19.6 Notices
